Ontario Corporate Law & Practice is a completely rewritten and rebranded release of a venerable publication by Robert Kingston, Ontario Corporation Manual. The publication has been substantially reorganized and expanded. Its aim is to be the first point of reference for corporate and business law practitioners whether in private practice or in-house. While written from an Ontario law perspective, it aims to be useful to practitioners in other Canadian common law jurisdictions.
The new and updated publication provides an integrated discussion of applicable legislation and case law, as well as solutions to problems encountered in practice. It covers both business corporations and not-for-profit corporations (including the pending new legislation governing not-for-profit corporations). Divided into 10 parts, its 33 chapters include: alternative to incorporation (such as general and limited partnerships); organization; names; share capital; shareholders and their rights; shareholder agreements, dissent and appraisal rights; oppression remedy; derivative actions; board functions, composition and process; duties and liabilities of directors and officers; debt obligations; trust indenture; securities transfers and pledge in the direct and indirect holding systems; amendments, continuances and amalgamations, arrangements, reorganizations and going-private transactions, liquidations, dissolution and revival; corporate records; financial statements and auditors; shareholders' meetings and proxy solicitation; extra-provincial licenses and registrations; mergers and acquisitions (including negotiated acquisitions and divestitures); and transactions opinions.
